These Terms of Service ("Terms") are a legal agreement between you and Turing605 LLC, a South Dakota limited liability company doing business as "Upcyclist" ("Turing605," "we," "us," or "our"). By creating an account, accessing, or using the Upcyclist web application or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
Upcyclist is a cloud-based cashflow management tool for resellers that tracks inventory, sales, expenses, and profit. The Service is delivered as a software-as-a-service (SaaS) web application, accessible via any modern web browser. Native iOS and Android applications may also be available and are subject to these same Terms.
All inventory and financial data you enter into the Service is stored in the cloud on servers operated by or on behalf of Turing605 (currently hosted on Supabase infrastructure). By using the Service, you acknowledge that your data is transmitted to and stored on Turing605's cloud infrastructure. Our handling of your data is described in our Privacy Policy, which is incorporated into these Terms by reference.
You must create an account to use the Service. You may register using a valid email address and password, or by authenticating through a supported third-party identity provider (currently Google OAuth). By registering, you represent that the information you provide is accurate and that you will keep it current.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@turing605.com if you suspect any unauthorized access to your account. Turing605 is not liable for any loss or damage arising from your failure to protect your credentials.
Accounts are for individual use. You may not share your account credentials with others or allow multiple individuals to use a single account, except where expressly permitted by the applicable plan.
You may delete your account at any time from Settings → Account. Upon deletion, your data will be permanently removed from our systems subject to the retention periods described in our Privacy Policy. Turing605 may suspend or terminate your account if we have reason to believe you have violated these Terms.
A free tier is available with limited features as described on our Pricing page. The free tier currently allows up to 10 inventory items, 10 sales transactions, and 10 buyer contacts. No credit card is required to use the free tier.
The Pro plan is a paid subscription that unlocks unlimited inventory items, sales, and buyer contacts, as well as CSV import/export, bulk operations, and other premium features. The Pro plan is available on a monthly or annual billing cadence; annual plans are offered at a discounted rate. Current pricing is displayed on our Pricing page and at checkout.
Subscriptions are processed by Stripe, Inc. on behalf of Turing605. Where the Service is also available through the Apple App Store or Google Play Store, in-app purchases on those platforms are processed by Apple or Google respectively and are subject to their terms and refund policies. Turing605 does not store your full payment card details.
Subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date. You authorize Turing605 (through Stripe) to charge your payment method on a recurring basis for the applicable subscription fee plus any applicable taxes.
You may cancel your Pro subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current paid billing period; you will retain Pro access until that date. Cancellation does not entitle you to a prorated refund for the remainder of a billing period, except where required by applicable law.
All subscription fees are non-refundable except as required by applicable law or as determined at Turing605's sole discretion. If you believe you are entitled to a refund, contact us at support@turing605.com within 14 days of the charge. For purchases made through the Apple App Store or Google Play Store, refund eligibility is governed by the applicable platform's refund policy.
Turing605 may change subscription pricing at any time. We will provide at least 30 days' advance notice of any price increase before it takes effect on your account. Continued use of the Service after the price change becomes effective constitutes your acceptance of the new pricing.
Turing605 may offer free trials of the Pro plan from time to time. Unless you cancel before the trial period ends, your payment method will be charged at the applicable subscription rate when the trial concludes.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
You retain full ownership of all data you enter into the Service. You grant Turing605 a limited license to store, process, and transmit your data solely as necessary to operate and improve the Service and as described in our Privacy Policy.
Data portability: You can export your data at any time in CSV format from Settings → Data & Export.
Data deletion: Deleting your account or using the "Delete All Data" option in Settings permanently removes your data from our active systems. Residual copies may be retained in backups for a limited period as described in our Privacy Policy. This action is irreversible.
Data security: Turing605 uses commercially reasonable administrative, technical, and physical safeguards to protect your data. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.
You agree not to use the Service to:

The Service, including all software, branding, design, content, and documentation, is owned by Turing605 LLC and protected by United States and international copyright, trademark, and other intellectual property laws. "Upcyclist," the Upcyclist logo, and related marks are trademarks of Turing605 LLC.
Subject to your compliance with these Terms and payment of applicable fees, Turing605 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service via a web browser or authorized mobile application solely for your personal or internal business purposes. You may not copy, redistribute, sublicense, sell, or create derivative works of any part of the Service without our prior written consent.
You retain all rights to the data you enter into the Service. You grant Turing605 no rights to your data beyond what is technically necessary to operate the Service and as described in our Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TURING605 DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TURING605 DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT DATA STORED IN THE CLOUD WILL BE AVAILABLE AT ALL TIMES.
Financial calculations provided by the Service (including profit, ROI, margin, and tax estimates) are estimates only and are not a substitute for professional accounting, tax, or financial advice. You are solely responsible for verifying the accuracy of any calculations before relying on them for business or tax purposes.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TURING605 LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF TURING605 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TURING605'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) TEN US DOLLARS ($10.00) OR (B) THE TOTAL AMOUNT YOU PAID TO TURING605 FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.
You agree to defend, indemnify, and hold harmless Turing605 LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property or other rights.
These Terms are governed by and construed in accordance with the laws of the State of South Dakota, without regard to its conflict-of-law principles.
Before filing any formal legal claim, you agree to first contact us at support@turing605.com and describe your dispute in reasonable detail. We will attempt in good faith to resolve the dispute informally within 30 days of receiving your notice.
If the dispute is not resolved informally, you and Turing605 agree to resolve it through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in South Dakota or, at your election, by telephone or video conference. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND TURING605 EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH YOU AND TURING605 WAIVE ANY RIGHT TO A JURY TRIAL.
Nothing in this section prevents either party from seeking emergency injunctive relief from a court to preserve the status quo pending arbitration.
Turing605 may update these Terms from time to time. When we make material changes, we will notify you by updating the "Last updated" date at the top of this page and by displaying a notice within the Service or sending an email to the address associated with your account at least 30 days before the changes take effect.
Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must cancel your subscription and stop using the Service.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Turing605 regarding the Service and supersede all prior agreements or understandings.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Waiver. Turing605's failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Turing605 may assign these Terms in connection with a merger, acquisition, or sale of assets.
